Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you and Stackedge, a sole proprietorship based in Barcelona, Spain (CIF: ESY5818456E), governing your access to and use of AuditFlow and related services.
By creating an account, accessing, or using AuditFlow, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, you must not access or use AuditFlow.
Service Description
AuditFlow is an AI-powered website audit and monitoring platform designed for digital agencies. The service enables you to submit website URLs for automated analysis, receive performance and SEO insights, schedule recurring audits, and generate branded Shareable performance dashboards for your clients.
AuditFlow uses third-party data sources including Google PageSpeed Insights and AI analysis powered by OpenAI to produce audit results. Features, limits, and availability may vary depending on your subscription plan.
We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with reasonable notice where practicable. We will make commercially reasonable efforts to minimize disruption to active subscriptions.
Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use AuditFlow. If you are using the service on behalf of a business, you must be authorized to act on its behalf.
AuditFlow is intended for professional use by agencies, freelancers, and businesses conducting website audits for themselves or their clients. You represent that all information you provide during registration is accurate and current.
We may refuse service, terminate accounts, or restrict access at our discretion if we believe you do not meet eligibility requirements or have violated these Terms.
Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@stackedge.ai if you suspect unauthorized access.
You must provide accurate and complete registration information and keep your account details up to date. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Account sharing outside your organization is prohibited unless explicitly permitted by your subscription plan. You are responsible for ensuring that anyone accessing AuditFlow through your account complies with these Terms.
Acceptable Use
You agree to use AuditFlow only for lawful purposes and in accordance with these Terms. You must not engage in any of the prohibited activities listed below. We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account.
- Submit URLs for websites you do not own or have explicit authorization to audit.
- Use AuditFlow to scan, probe, or attack third-party systems in a manner that violates applicable law or causes harm.
- Attempt to reverse engineer, decompile, or extract source code from the AuditFlow platform.
- Circumvent usage limits, rate limits, or security measures.
- Upload or transmit malware, spam, or harmful content through the service.
- Resell, sublicense, or white-label AuditFlow without a written agreement with Stackedge.
- Use automated means to access the service beyond our documented API, if provided.
- Misrepresent AuditFlow-generated reports as human-conducted audits without appropriate disclosure to your clients.
Intellectual Property
AuditFlow, including its software, design, branding, documentation, and all related intellectual property, is owned by Stackedge and protected by copyright, trademark, and other applicable laws.
Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use AuditFlow for your internal business purposes and for delivering audit services to your clients.
You may not copy, modify, distribute, sell, or create derivative works based on AuditFlow without our prior written consent. The Stackedge and AuditFlow names, logos, and trademarks may not be used without permission.
User Content
You retain ownership of the website URLs, client information, branding assets, and other content you submit to AuditFlow ("User Content"). By submitting User Content, you grant Stackedge a limited license to process, store, and display that content solely to provide and improve the service.
You represent and warrant that you have all necessary rights and permissions to submit User Content and that doing so does not infringe any third-party rights or violate any applicable law.
Audit reports generated by AuditFlow incorporating your branding are licensed to you for use with your clients. The underlying AuditFlow platform, algorithms, and report templates remain our intellectual property.
Limitation of Liability
To the maximum extent permitted by applicable law, Stackedge and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of AuditFlow.
Our total aggregate liability for any claims arising under or related to these Terms shall not exceed the amount you paid to Stackedge for AuditFlow in the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Disclaimers
AuditFlow is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, error-free, or completely accurate at all times.
Audit results, AI-generated insights, and performance scores are provided for informational purposes only. They should not be considered professional legal, financial, or technical advice. You are responsible for verifying results before sharing them with clients or making business decisions.
We rely on third-party services including Google PageSpeed Insights and OpenAI. We are not responsible for the accuracy, availability, or changes to data provided by these third parties.
Payment & Billing
Access to paid features requires an active subscription. Subscription fees are billed in advance on a monthly or annual basis, as selected during checkout, and processed securely through Stripe.
All prices are displayed in the currency shown at checkout and exclude applicable taxes unless stated otherwise. You authorize us to charge your payment method for recurring subscription fees until you cancel.
By completing checkout, you expressly agree to our Terms of Service, Privacy Policy, and Refund Policy, and acknowledge that all subscription payments are final and non-refundable.
We may change subscription prices with at least 30 days' notice. Price changes apply to subsequent billing cycles. If you do not agree to a price change, you may cancel before the new price takes effect.
Failed payments may result in suspension of your account until payment is resolved. See our Refund Policy for information about cancellations.
Cancellation
You may cancel your subscription at any time through your account billing settings or by contacting hello@stackedge.ai. Cancellation takes effect at the end of your current billing period.
Upon cancellation, you will retain access to paid features until the end of the paid period. After that, your account may be downgraded or deactivated, and your data may be deleted according to our Privacy Policy.
Cancellation stops future charges only. It does not entitle you to any refund for the current or any prior billing period.
Termination
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, fail to pay subscription fees, or if required by law.
Upon termination for cause, your right to access AuditFlow ceases immediately. We may delete your account data after a reasonable grace period, except where retention is required by law.
Provisions that by their nature should survive termination. Including intellectual property, limitation of liability, disclaimers, and dispute resolution: shall remain in effect.
Dispute Resolution
These Terms are governed by the laws of Spain, without regard to conflict of law principles. For consumers residing in the European Union, mandatory consumer protection laws of your country of residence may also apply.
Any dispute arising from these Terms or your use of AuditFlow shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, except where EU consumer law grants you the right to bring proceedings in your country of residence.
Before initiating formal proceedings, we encourage you to contact us at hello@stackedge.ai to attempt to resolve the dispute informally. EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
Changes to Terms
We may update these Terms from time to time. When we make material changes, we will provide notice by email or through a prominent notification within AuditFlow at least 15 days before the changes take effect.
Your continued use of AuditFlow after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the service and cancel your subscription.
The "Last updated" date at the top of this page reflects the most recent revision. Previous versions may be available upon request.
